(Nasdaq: EZGO) ("EZGO" or "we," "our," or the "Company"), a leading short-distance transportation solutions provider in China, today announced that on August 6, 2026, its board of directors approved a reverse split of its ordinary shares on a one-for-three basis (the "Reverse Share Split"). The Company's ordinary shares will begin trading on a post-split basis on November 5, 2026.
As a result of the Reverse Share Split, every three (3) issued ordinary shares of the Company will be automatically combined into one (1) issued ordinary share, with fractional shares rounded to the nearest whole share, and without any action required on the part of the shareholders. Following the Reverse Share Split, the total number of issued and outstanding ordinary shares will be reduced from 5,305,950 to approximately 1,768,650. The Company's ordinary shares will continue to trade on the Nasdaq Capital Market under the symbol "EZGO," under a new CUSIP number – G5279F128. The Reverse Share Split will not be submitted to a vote of the Company's shareholders as a vote was not required under the laws of the British Virgin Islands.

The 30-second read
Why it matters
The reverse split reduces share count and increases the nominal share price to help satisfy Nasdaq continued listing requirements, with trading shifting to post-split terms on Nov. 5, 2026.
Market read
This is a time-specific corporate action that can drive near-term trading volatility and affects how investors interpret compliance risk.
What to watch
Traders should monitor post-split liquidity, bid-ask spreads, and any Nasdaq compliance follow-through, since the release does not address whether other listing criteria are already met.
Background
EZGO Technologies Ltd. is a Nasdaq Capital Market-listed short-distance transportation solutions provider in China.
Ticker impact
EZGO announced a 1-for-3 reverse split effective Nov. 5, 2026 to raise the share price and maintain Nasdaq listing compliance.
Likely short-term volatility and liquidity-driven pressure as the market prices the reverse-split mechanics and compliance rationale.
The release is a direct corporate-action disclosure with a specific effective date and stated purpose tied to Nasdaq continued listing requirements, which can affect trading behavior even without fundamental earnings changes.
Market effects
Reverse-split actions among small-cap growth issuers can signal listing pressure and may raise perceived risk across similar micro/small-cap names.
Limited direct impact beyond small-cap US-listed Chinese ADR-equivalent peers, unless it triggers broader sentiment toward China-linked small caps.
Low, as this is company-specific corporate action rather than a sector-wide or macro catalyst.
Counterpoint
The reverse split may be viewed as a technical compliance step rather than a deterioration signal, so price action could be muted if investors expect continued operations and no further delisting risk.
