What is insider trading?

Insider trading is the buying or selling of a public company’s stock by people with access to material, non-public information, typically its directors, officers, or shareholders who own more than 10%. When done legally, these trades must be disclosed to the SEC, usually on a Form 4 filed within two business days.

A Form 4 is the filing a corporate insider submits to the U.S. Securities and Exchange Commission to report a change in their ownership of company stock: a purchase, sale, option exercise, or gift. It names the insider, their role, the transaction type and size, and the shares they hold afterward.

Watch for cluster buys (several officers or directors buying the same stock within days) and purchases into a price drop, which tend to signal the strongest conviction. Set an alert to catch new insider buying on any ticker as it is filed.

Do insider purchases predict stock returns?

The evidence points to a small short-horizon association, not a lasting edge. A filing-date event study by alphai’s founder, published on the QuantInsti blog in August 2026, followed 7,405 C-suite open-market purchase filings from January 2022 to June 2026, entering each on the session after the Form 4 became public. The average return against SPY was +0.53% on that session and +1.01% over five sessions; at 21 and 63 sessions the confidence intervals include zero. Entering on the transaction date instead of the filing date uses information that was not yet public and overstates the result.
