Teva closes BioXcel asset purchase in bankruptcy proceeding

Teva Pharmaceuticals completed its purchase of BioXcel Therapeutics' neuroscience assets on October 27, 2026. The transaction includes BXCL501, an investigational sublingual dexmedetomidine film under U.S. FDA review for acute agitation linked to schizophrenia or bipolar disorder, and Igalmi, an FDA-cleared hospital treatment. Contract Pharma reports an upfront payment of $57.5 million, with total consideration potentially reaching $67.5 million through contingent payments.

The deal gives Teva additional neuroscience assets, including a candidate that could enable treatment outside hospitals if approved for that use. Teva described BXCL501 as a strategic match for its neuroscience portfolio and said the assets target unmet patient needs.
