Marvell agrees to acquire Lumentum in a $115 billion all-stock transaction

On November 2, 2026, Marvell Technology and Lumentum announced a definitive all-stock agreement under which Lumentum investors will receive 4.500 Marvell shares for each Lumentum share. The transaction assigns Lumentum an implied enterprise value of $115 billion, or approximately $1,132 per share, including an approximately 23.9% premium to its unaffected October 28 closing price. The companies said the combination will expand their addressable market to $550 billion and is expected to generate more than $1 billion in annual run-rate cost synergies.
