Texas Instruments issues $2 billion of senior notes to fund Silicon Labs purchase

Texas Instruments announced the pricing of four senior unsecured note series totaling $2.0 billion. Each tranche is $500 million with coupons of 5.000%, 5.350%, 5.500% and 5.750% and will mature on November 9 2028, 2031, 2033 and 2036. The company said the proceeds will be used to cover part of the cash price for its planned acquisition of Silicon Laboratories and related transaction costs. The notes are slated to be issued on November 9 2026.

The new debt will increase Texas Instruments’ leverage by $2 billion while providing the cash needed to complete the $7.5 billion all‑cash takeover of Silicon Laboratories, as stated by the company (1). The financing avoids equity dilution for existing shareholders but adds fixed‑interest obligations that will affect future cash‑flow and credit metrics.
