ESCO completes Megger acquisition and puts new financing in place

ESCO Technologies completed its purchase of Megger Group Limited from TBG AG. Megger will be housed in ESCO's Utility Solutions Group, while TBG received director nomination rights and transfer restrictions on its ESCO shares. ESCO also activated $1.5 billion of secured credit facilities to fund the transaction and replace existing borrowings.

ESCO says Megger extends the scale and international coverage of its utility offerings. The new debt facilities fund the acquisition and refinance prior debt, while the shareholder arrangements give TBG governance rights subject to ownership conditions.
