Critical Metals’ acquisition of European Lithium becomes effective after court approval

Critical Metals Corp received court approval for the schemes of arrangement that will acquire European Lithium Ltd. The approval makes the transaction legally effective as of Oct. 27, 2026. European Lithium securities will be suspended on the ASX and the company plans to list new Critical Metals shares on Nasdaq on Nov. 6, 2026. Shareholders of European Lithium will be allocated 0.045 Critical Metals shares for each of their shares held at the record date.

The deal will convert European Lithium shareholders into owners of Critical Metals, expanding the latter’s asset base in lithium and rare‑earth projects. The Nasdaq listing on Nov. 6 will provide a new public market for the combined entity and remove European Lithium from the Australian exchange.
