SOAR AI secures up to $1 billion equity facility for AI infrastructure expansion

SOAR AI (formerly Volato Group) entered a common‑stock purchase agreement that gives an institutional investor the right to buy up to $1 billion of its shares. The company can draw on the facility at its discretion, with each sale limited to 10% of average daily volume and a combined daily cap of $6 million. The capital is intended to fund the Ohio AI campus, which currently has 154 MW of power and a plan to reach 480 MW, as well as other prospective sites. The agreement also restricts the investor from shorting the stock and limits its ownership to 4.99% of the outstanding shares.

The facility provides SOAR AI with a sizable source of equity capital without obligating an immediate share issuance, allowing the firm to finance its growth while managing dilution risk (the company says the terms are designed to minimise market impact). The ability to draw funds on demand supports the rollout of its high‑capacity AI campus, which could enhance the company’s revenue potential.
