Skyworks completes exchange offers for Qorvo senior notes, issuing new Skyworks notes

Skyworks Solutions announced that its exchange offers for Qorvo Inc.'s 4.375% senior notes due 2029 and 3.375% senior notes due 2031 expired on October 5, 2026. Holders tendered 91.70% of the 2029 notes ($779,422,000) and 92.44% of the 2031 notes ($647,096,000). Skyworks expects to issue $778,096,000 of new 2029 notes and $646,805,000 of new 2031 notes around October 7, 2026.

Investors holding Qorvo senior notes will be exchanged for Skyworks notes, changing the issuer and terms of their holdings. Skyworks will add roughly $1.42 billion of new senior debt, which may affect its credit profile and future financing costs.
