Third Coast Bancshares to acquire Great Plains Bancshares in an all‑stock merger

Third Coast Bancshares signed an agreement on Oct. 6, 2026 to combine with Great Plains Bancshares through a two‑step, all‑stock reorganization. The deal will issue up to 5,570,352 Third Coast shares to Great Plains shareholders, with the number adjusted if Great Plains’ tangible equity falls below $153.3 million. The transaction requires shareholder and regulatory approvals and includes a termination fee of roughly $12 million payable by Great Plains under certain conditions. Third Coast has secured voting support from holders of about 27.6% of Great Plains shares and director support agreements to increase closing certainty.

The merger will expand Third Coast’s footprint across Texas and Oklahoma, adding Great Plains’ assets and customers to its balance sheet. Completion will increase the number of shares outstanding and may affect dilution for existing shareholders, while the $12 million termination fee provides a financial safeguard for Third Coast if the deal collapses.
