Hain Celestial weighs Chapter 11 filing after missed credit‑agreement deadline

Hain Celestial Group said it may seek Chapter 11 protection as debt pressures mount and a key asset sale to Aurelius stalled. The company missed an October 12 deadline to amend its credit agreement, jeopardising a divestiture that was expected to raise up to $310 million. Shares dropped about 51% after the news.

If Hain files for Chapter 11, its creditors could gain priority over existing equity holders and the company may restructure or sell assets at reduced values. The missed deadline also delays the $310 million capital infusion that was meant to reduce its $655 million unsecured debt.

  • 1Shares of Hain Celestial fell 51% after the report.
  • 2A deadline of October 12 passed without amending the credit agreement, endangering the planned asset sale.
  • 3The proposed divestiture to Aurelius was projected to generate up to $310 million in fresh capital.
  • 4Hain carries approximately $655 million in unsecured debt.
  • 5The transaction would sell Hain’s European and UK business, including brands Ella’s Kitchen, Joya and Natumi.
