Alpha Modus closes bitcoin-funded PIPE and says Nasdaq compliance is restored

Alpha Modus Holdings completed a PIPE financing on September 30 with non-U.S. investors, receiving 3,170 bitcoin for 51,621,560 Class A shares and warrants covering the same number of shares. The warrants have an exercise price of $4.36 per share. The company said the financing lifted stockholders’ equity above $200 million and restored its compliance with Nasdaq’s equity standard.

The financing gives Alpha Modus a large bitcoin holding and removes the immediate listing-compliance concern cited by the company. Existing holders face dilution from the newly issued shares and potential exercise of the warrants, while the balance sheet is now exposed to bitcoin price movements.
