Baldwin reports preliminary Q3 results as take-private deal advances

Baldwin Insurance Group reported preliminary results for the quarter ended September 30, 2026, with revenue of $480.3 million, up 31% year over year, and organic revenue growth of 6%. GAAP net loss was $81.6 million, while adjusted EBITDA rose 47% to $106.9 million. Separately, an investor group led by Sequence Holdings and DFO Management agreed to buy Baldwin for $32.50 per share in cash.

The proposed buyout would convert Baldwin into a private company and end Nasdaq trading if shareholders, regulators and other closing conditions approve it. The operating figures remain preliminary and could change before Baldwin files its Form 10-Q.

  • 1Baldwin said the buyout could be completed in the first quarter of 2027, provided shareholder, regulatory and other customary requirements are satisfied.
  • 2The proposed acquisition would pay stockholders $32.50 per share in cash.
  • 3Baldwin had $188.6 million in cash and cash equivalents, $289.1 million of revolving-credit borrowing capacity and $2.465 billion of total debt as of September 30, 2026.
  • 4Net cash from operating activities was $54.2 million, and adjusted free cash flow increased 33% year over year to $55.6 million.
  • The quarterly figures are preliminary, unaudited estimates and Baldwin says actual results may differ materially.
