Agilent to acquire digital pathology firm Proscia for up to $270 million

Agilent Technologies announced a definitive agreement to purchase Proscia, a provider of enterprise digital pathology software, for $240 million in cash with an additional $30 million contingent on performance milestones. The deal builds on a prior distribution partnership and is expected to close early in Agilent’s fiscal year 2027. Proscia serves more than 4,000 laboratories and 16 of the top 20 pharmaceutical companies and generated over $18 million in trailing twelve‑month revenue.

The acquisition expands Agilent’s pathology portfolio by adding a recurring‑revenue software platform, potentially enhancing cross‑sell opportunities with its instruments and reagents. Completion of the transaction will increase Agilent’s exposure to the fast‑growing digital pathology market, while the earn‑out component could raise the total consideration to $270 million.
