OceanaGold to acquire Ausgold and fold Katanning Gold Project into its portfolio

Ausgold Limited has signed a Binding Scheme Implementation Deed under which a wholly‑owned Australian subsidiary of OceanaGold Corporation will acquire 100 % of Ausgold via a court‑approved scheme of arrangement. The Ausgold board unanimously recommended the deal, which includes an upfront premium for shareholders and retains their exposure to the Katanning Gold Project. The acquisition is expected to accelerate development of Katanning through OceanaGold’s balance sheet and operational expertise. The project has recently secured new mining leases, completed key engineering and permitting work, and advanced resource extension drilling.

The company says the transaction provides shareholders with an attractive upfront premium while preserving exposure to a major Australian gold project. Completion of the scheme will give OceanaGold full control of Katanning, potentially adding a new gold and copper asset to its portfolio and influencing future cash flows.
