Kimberly‑Clark extends deadline for Kenvue note exchange offers to Nov. 2, 2026

Kimberly‑Clark announced that the expiration date for its exchange offers of all outstanding Kenvue notes has been moved from Oct. 27, 2026 to 5:00 p.m. New York time on Nov. 2, 2026. The offers cover up to $7 billion of new Kimberly‑Clark notes and remain contingent on the closing of Kimberly‑Clark’s pending acquisition of Kenvue. As of the Oct. 27 cut‑off, tender rates ranged from 73.93% to 98.54% across the various note series.

The extension gives eligible holders more time to tender their Kenvue notes before settlement, which is expected to occur promptly after the new expiration date. Settlement of the exchange is required for the acquisition to be completed, affecting the capital structure of both companies.
