Dover Raises Debt Tender Cap to $300 Million and Extends Deadline

Dover increased the maximum purchase price for its cash tender offers from $230 million to $300 million and moved the expiration deadline to November 5, 2026. The offers cover four note series, with acceptance based on priority levels and subject to proration. Settlement is expected on November 9, 2026, if Dover completes the required new senior-notes financing.

The transaction could reduce or refinance Dover’s outstanding debt, but the company is not required to accept tenders unless the financing condition and other offer conditions are satisfied. Notes are accepted by priority, so lower-priority series may receive reduced or no acceptance if tenders exceed the cap.

  • 1Dover’s tender cap is $300 million, increased from $230 million.
  • 2As of 12:30 p.m. on October 30, 2026, valid tenders represented 28.86% of the 2028 issue, 30.59% of the 2038 issue, 39.78% of the 2035 issue and 30.83% of the 2041 issue.
  • 3The expected settlement date is November 9, 2026.
  • 4Dover’s financing condition requires a new senior unsecured notes offering that produces enough net proceeds to repay its €600 million 1.25% notes due 2026 at maturity.
  • 5Deutsche Bank Securities, HSBC Securities and J.P. Morgan Securities are serving as dealer managers.
  • Only material 3 reports that the new notes offering is expected to close on November 2, 2026; the company release says the financing condition applies but does not provide that expected closing date.
  • The final amount of notes accepted from each series remains unknown because it depends on tenders, the $300 million cap, priority levels and any proration.
