EQT to acquire U.S. real‑estate manager Stockbridge in cash deal

Swedish private‑equity group EQT AB agreed to buy San‑Francisco‑based Stockbridge Capital Group. The transaction consists of $375 million in cash at closing with an additional earn‑out of up to $175 million payable between 2027 and 2030, bringing the total consideration to as much as $550 million. Stockbridge’s senior‑management shareholders will reinvest half of their proceeds in EQT AB shares, and the deal is expected to close in the first quarter of 2027, subject to customary regulatory approvals.

The acquisition adds roughly $16.5 billion of fee‑generating assets and a 93 million‑square‑foot commercial portfolio to EQT’s real‑estate platform, expanding its industrial and alternative‑living capabilities. EQT’s shareholders gain exposure to the U.S. market and the earn‑out creates upside if Stockbridge meets performance targets, as noted in the press release.
