Vertiv completes $1.45 billion purchase of UtilityInnovation Group

Vertiv Holdings closed its acquisition of UtilityInnovation Group (UIG) for roughly $1.45 billion in cash. The deal also contains an earn‑out that can add up to $1.15 billion if UIG meets specified EBITDA targets over the next 12‑ and 24‑month periods. Vertiv said the transaction will increase its adjusted earnings per share within the first twelve months after closing.

The company indicated that the added microgrid and behind‑the‑meter capabilities should boost adjusted EPS in the next year, giving investors a near‑term earnings uplift. The contingent consideration ties future payments to UIG’s performance, creating upside risk for shareholders if the EBITDA targets are achieved.
