Transocean-Valaris merger set to close on Dec. 1 after securing all regulatory approvals

Transocean Ltd. and Valaris Limited have obtained every required regulatory clearance and plan to finalize their all‑stock acquisition on or about December 1, 2026. Shareholder votes are slated for November 24, and the deal values Valaris at about US$5.8 billion with Valaris shareholders receiving 15.235 Transocean shares per Valaris share. The combined company expects to generate roughly US$200 million of annual synergies and will add about US$600 million to Valaris’s contract backlog, bringing total backlog to approximately US$4.8 billion.

The merger creates a larger offshore drilling fleet and should deliver the $200 million in annual synergies that Transocean expects, potentially improving earnings for both companies. The share‑exchange terms will affect Valaris shareholders’ equity positions in the combined entity.
