Vaxcyte launches $1 billion equity and convertible‑note offering

Vaxcyte Inc. announced concurrent public offerings of $500 million of common stock (including pre‑funded warrants) and $500 million of 1.5% senior convertible notes due 2032. The equity tranche consists of 7,412,500 shares at $64 each with a 30‑day over‑allotment option for an additional 1,171,875 shares, while the note tranche carries a conversion price of $89.60 per share and a 30‑day option for up to $75 million more principal. Proceeds are earmarked for clinical development of the VAX‑31 vaccine program, manufacturing scale‑up and related corporate purposes. The offerings are expected to close on October 9, 2026, subject to customary conditions.

The company expects the roughly $1 billion net of fees to fund Phase 3 adult and infant VAX‑31 trials, expand manufacturing capacity and prepare for a U.S. launch, extending its cash runway. The equity component will dilute existing shareholders, while the convertible notes add debt that can convert into equity at a 40% premium to the offering price, potentially increasing future dilution.
