Viatris starts $36.50 cash tender offer for Pacira

On Oct. 30, 2026, Viatris, through Peach Purchaser Sub, began an offer to buy all Pacira shares for $36.50 each in cash. Pacira's board unanimously recommended that shareholders tender their shares. The offer is scheduled to end one minute after 11:59 p.m. Eastern Time on Nov. 16, 2026, unless extended or terminated, and would be followed by a merger leaving Pacira as a wholly owned Viatris subsidiary.

The transaction would give Pacira shareholders cash consideration while expanding Viatris' ownership of Pacira if the tender, antitrust and other closing conditions are satisfied. The deal can proceed without a separate Pacira shareholder vote under Section 251(h) of the Delaware General Corporation Law.

  • 1The cash consideration is $36.50 per Pacira share, without interest and net of applicable withholding taxes.
  • 2Pacira's board disclosed a unanimous recommendation that shareholders accept the offer and tender their shares in a Schedule 14D-9 filed with the SEC on Oct. 30, 2026.
  • 3The offer expires one minute after 11:59 p.m. Eastern Time on Nov. 16, 2026, unless extended or ended earlier.
  • 4A closing condition requires tenders representing at least one share above 50% of Pacira's issued and outstanding shares, together with shares held by Viatris and its affiliates.
  • 5The offer is subject to the expiration or termination of the Hart-Scott-Rodino waiting period and the absence of legal restraints blocking the transaction.
  • 6The tender offer is not subject to a financing condition.
