CRH launches cash tender and exchange offer for Arcosa notes with early premium

CRH plc has opened a cash tender and exchange offer for Arcosa’s 2029 and 2032 notes, offering an extra $50 per $1,000 of principal to holders who tender early. The early tender settlement is expected on November 20, 2026, with a final settlement on December 8, 2026. The offer is capped at $1.0 billion of new CRH AF notes and will expire on December 4, 2026 unless extended. CRH will fund the purchases with proceeds from a concurrent senior debt offering.

Arcosa note holders can receive a modest premium for early tender, improving the value of their holdings. The cap and expiration limit the amount of notes that can be exchanged, affecting the size of the transaction and the amount of new CRH AF debt issued.
