SentinelOne proposes $1.25 billion convertible notes financing

SentinelOne announced a proposed private placement of $1.25 billion in senior unsecured convertible notes due in 2031, with no regular interest payments. The company plans to use the proceeds for capped call transactions, share repurchases and general corporate purposes, while retaining the choice to settle conversions in cash, Class A shares or a combination. Initial purchasers also received an option for an additional $187.5 million of notes, and SentinelOne is discussing a separate $400 million revolving credit facility.

The financing adds a senior debt obligation and could create future equity dilution if the notes convert. The planned capped calls are intended to reduce that dilution, while any completed repurchases would reduce shares outstanding; final conversion terms and the credit facility remain unresolved.

  • 1The proposed securities are senior unsecured convertible notes with a $1.25 billion principal amount and a 2031 maturity.
  • 2The notes will carry a 0% interest rate, with SentinelOne able to settle conversions using cash, Class A stock or both.
  • 3Initial purchasers have a 13-day option to buy up to an additional $187.5 million of notes, which could bring the offering to $1.4375 billion.
  • 4SentinelOne is discussing a $400 million secured revolving credit facility, but no credit agreement has been signed.
  • 5The company expects capped call transactions to help reduce potential dilution from conversions.
  • The planned maximum share repurchase is reported as $200 million in one material and $150 million in other materials.
  • Reported share performance differs, with materials citing a 7% decline and an 8.42% decline.
  • The final conversion rate, pricing terms and completion of the proposed credit facility have not been determined.
