What is an SEC Form 4?

A Form 4 is the filing a corporate insider submits to the U.S. Securities and Exchange Commission to report a change in their ownership of a company’s stock: a purchase, sale, option exercise, or gift. Directors, officers, and shareholders who own more than 10% must file one within two business days of the transaction. It names the insider, their role, the transaction type and size, the price, and the shares they hold afterward.

What do the Form 4 transaction codes mean?

Each line on a Form 4 carries a transaction code. The two that matter most are P (an open-market purchase) and S (an open-market sale), because they represent real conviction.
